The Wehrle Group is a leading manufacturer of water meters based in Furtwangen, with decades of experience in flow measurement technology and a high degree of vertical integration. A key component was the independent business unit “Precision Plastics,” a high-performance injection molding center of excellence for precision plastic components. This unit was sold in its entirety as part of the transaction and contributed significantly to the company’s appeal to investors. The manufacturing portfolio was complemented by in-house tooling capabilities.
Challenge
Due to ongoing losses and a tight liquidity situation, a distressed M&A process was initiated. The particular challenge lay in the complex stakeholder structure, multiple operating units, and tight deadlines.
Solution
The goal of the internationally focused M&A process was to ensure the transaction’s security under challenging conditions. To this end, structured bidding processes were conducted for both the entire group and individual operating units. A key value driver was the “Precision Plastics” business unit, which, as an independent injection molding center of excellence with modern technology and a broad customer portfolio, attracted particular investor interest. A strategic buyer was identified in Sontex SA. Thanks to WINTERGERST’s M&A and restructuring expertise, a sustainable solution was achieved for all stakeholders.
