Wintergerst accompanies the sale of turningtec GmbH to the ORCA Group

The ORCA Group, based in Villingen-Schwenningen, acquires turningtec GmbH, located in Gosheim, Baden-Württemberg. The Polish subsidiary, turningtec Polska, was already sold to Jacob GmbH Elektrotechnische Fabrik in Kernen im Remstal in June 2022. Both acquisitions were accompanied by Wintergerst Societät für Unternehmer-Beratung within the framework of a competitive bidding process from inception right through to completion.

turningtec GmbH is a manufacturer of bespoke precision turned parts produced under contract for its customers. It also provides surface treatments and renders the associated technical advice. High-quality precision turned parts are manufactured at the production and competence center in Gosheim and at the factory of the Polish subsidiary. Its customers include global players in the automotive, commercial vehicles and electronics industries as well as companies in the powertrain, electro and medical technology sectors.

The ORCA Group is a machining professional with a worldwide reach that comprises a number of companies and 400 employees generating sales of EUR 60 million. At its 7 locations in Germany, Switzerland and Poland, precision turned parts are manufactured for a wide range of applications. The great match between the profile of turningtec Deutschland and the ORCA Group make the latter a perfect buyer for the company moving forward. The operations of turningtec GmbH were continued under the umbrella of the ORCA Group upon the workforce being transferred to the new owner on 1 February 2023.

With its industry expertise and in-depth understanding of the business model, Wintergerst Societät für Unternehmer-Beratung was successful at arranging a structured M&A process for turningtec. The initially favorable sales prospects cooled off at the beginning of 2022 with the outbreak of the war in Ukraine and the associated economic impacts. After concluding the sale of turningtec Polska, the investor search for the German operation was restarted from scratch.

“Our many years of experience in transaction advisory services helped us to realize this transaction so professionally and successfully in such a challenging environment,” says Volker Wintergerst, founder and managing director of Wintergerst Societät für Unternehmer-Beratung.

“I am happy that with the ORCA Group we have found a buyer who offers attractive growth prospects. The competitive transaction process allowed us to realize an attractive solution for the sellers,” explains Jörg Mayer, who managed the project for Wintergerst in his capacity as Associate Partner.
