WINTERGERST advises Actome GmbH on its successful financing and business continuation
Actome GmbH based in Freiburg, an innovative biotech start-up in the field of protein analysis, has managed to secure its business continuation and obtain long-term finance in the course of a structured process to find a new investor. The transaction was accompanied by WINTERGERST Societät für Unternehmer-Beratung. The finance was secured from a consortium of former shareholders and members of management and has secured the continuity of the company for the long term.
The solution means that core competencies, ongoing research projects and the entire workforce and extensive patent portfolio can be retained. This has laid the foundation needed to secure operations for the long term and open up sustainable prospects for the company’s future.
Actome is a spin-off from the University of Freiburg and has developed a platform based on protein interaction coupling (PICO) technology that enables highly-sensitive detection and quantitative analysis of proteins. This trend-setting technology has applications in key areas such as cancer research, immunology and drug development.
With its patented processes and products – including the PICOglue antibody labeling kit – Actome is seen as an important innovator at the interface between life sciences and diagnostics.
After delays in the planned provision of finance during the summer of 2025, the management of the company faced the challenge of finding a new finance solution at short notice to secure the continued development of the technology and continue work on the current research projects. Under the leadership of the insolvency administrator, Dr. Gesa Pantaleon gen. Stemberg, a structured process was initiated to find a new investor.
In the course of the bidding process, a consortium composed of the former shareholders and key management personnel prevailed over the competition. The existing team will continue research on PICO technology to create the foundation from which the current projects can be brought to a successful conclusion and new areas of application found.
„The solution not only allows us to secure sustainable prospects for the future of Actome, but also retain the highly-qualified staff and keep major research projects.”

“The successful implementation of this transaction within a short time frame was only possible due to the close cooperation of all involved. We are proud that we could use our experience in mastering challenging financing and transformation situations to assist Actome,” adds Volker Wintergerst, founder and director of WINTERGERST Societät für Unternehmer-Beratung.
